1. Definitions

In these Terms and Conditions:

  • "We," "Us," "Our," or "Axelion" refers to Axelion, a business entity operating in Thailand providing AI integration services.
  • "You," "Your," or "Client" refers to the individual or organization accessing our website or engaging our services.
  • "Services" means the AI integration consulting, infrastructure planning, sentiment analysis platforms, and enablement programs we provide.
  • "Agreement" means these Terms and Conditions together with any Service Agreement or Statement of Work.
  • "Website" means axxelliones and all associated pages.
  • "Content" means all materials, information, data, text, graphics, and other content available through our Services.

2. Acceptance of Terms

By accessing our Website or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our Website or Services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are accessing our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

3. Service Description

Axelion provides the following professional services:

3.1 AI-Ready Infrastructure Planning

Technical consulting to evaluate IT infrastructure and design architecture roadmaps for AI workloads. Services include assessment, design, cost projection, and implementation guidance.

3.2 Sentiment and Reputation Intelligence Platform

Development and deployment of AI-driven monitoring systems for brand sentiment analysis. Includes platform setup, calibration, customization, and ongoing support.

3.3 End-to-End AI Enablement Program

Comprehensive training programs to build internal AI capabilities. Includes skills assessment, customized curriculum, mentored projects, and governance framework establishment.

3.4 Service Availability

Services are provided subject to availability and resource capacity. We reserve the right to decline engagements that fall outside our expertise or capacity. Specific service terms, deliverables, timelines, and fees are detailed in individual Service Agreements.

4. User Responsibilities

4.1 Acceptable Use

You agree to use our Website and Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use our Services in any way that violates Thai or international laws or regulations
  • Transmit any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Introduce viruses, malware, or other malicious code
  • Engage in any activity that disrupts or interferes with our Services
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest personal data of other users without consent

4.2 Client Obligations for Service Delivery

When engaging our Services, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Grant reasonable access to systems, data, and personnel as needed
  • Respond promptly to requests for clarification or decision-making
  • Designate authorized representatives for project communication
  • Maintain confidentiality of any sensitive information shared during engagement

5. Intellectual Property Rights

5.1 Axelion's Intellectual Property

All content on our Website, including text, graphics, logos, designs, methodologies, processes, and software, is the property of Axelion or our licensors and is protected by Thai and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Website for informational purposes only. You may not copy, modify, distribute, sell, or exploit any content without our express written permission.

5.2 Service Deliverables

Ownership of deliverables created specifically for your engagement (infrastructure roadmaps, custom platform configurations, training materials) transfers to you upon full payment, subject to any Service Agreement provisions.

We retain ownership of underlying methodologies, frameworks, tools, and pre-existing intellectual property used in service delivery. We reserve the right to use general knowledge, skills, and experience gained during engagements for other clients.

6. Payment Terms

6.1 Fees and Billing

Service fees are specified in individual Service Agreements. All fees are stated in Thai Baht (฿) unless otherwise specified. Payment terms typically require:

  • 50% deposit upon engagement commencement
  • Remaining balance upon project completion or according to milestone schedule
  • Payment within 30 days of invoice date

6.2 Late Payment

Invoices not paid within the specified period may incur late payment fees of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances exceeding 60 days.

6.3 Refund Policy

Deposits are non-refundable once work has commenced. For project cancellations, fees are charged pro-rata based on work completed to date of cancellation notice. Specific refund terms may be outlined in Service Agreements.

7. Confidentiality

Both parties acknowledge that during the course of engagement, confidential information may be disclosed. Each party agrees to:

  • Maintain strict confidentiality of all proprietary and sensitive information
  • Use confidential information solely for the purpose of fulfilling contractual obligations
  • Protect confidential information with the same degree of care used for own confidential information
  • Limit disclosure to employees or contractors with legitimate need-to-know
  • Return or destroy confidential information upon request or engagement termination

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Disclaimers and Limitations of Liability

8.1 Service Provision

Our Services are provided on an "as is" and "as available" basis. While we strive for accuracy and quality, we make no warranties or representations regarding:

  • Specific results or outcomes from implementing our recommendations
  • Compatibility with all systems or environments
  • Uninterrupted or error-free operation of delivered solutions
  • Fitness for any particular purpose beyond what is expressly stated

8.2 Professional Advice Disclaimer

Our Services constitute technical consulting and should not be interpreted as legal, financial, or business advice. Clients are responsible for their own business decisions and should consult appropriate professionals for matters outside our technical expertise.

8.3 Limitation of Liability

To the maximum extent permitted by Thai law, our total liability arising from or related to these Terms or our Services shall not exceed the fees paid by you for the specific service giving rise to the claim during the twelve months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Axelion, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our Services in violation of these Terms
  • Your violation of any third-party rights
  • Information or content you provide to us
  • Your implementation of our recommendations without proper technical review
  • Breach of confidentiality obligations

10. Termination

10.1 Termination by Either Party

Either party may terminate ongoing services by providing 30 days written notice. Upon termination:

  • Client remains responsible for payment of fees for work completed to termination date
  • Axelion will deliver all completed work and materials paid for by Client
  • Both parties will return or destroy confidential information as requested
  • Obligations regarding confidentiality and intellectual property survive termination

10.2 Immediate Termination

We reserve the right to immediately terminate access to our Website or Services if you breach these Terms, engage in fraudulent activity, or pose a security risk to our systems or other users.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Thailand, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Chonburi Province, Thailand.

11.3 Informal Resolution

Before initiating legal proceedings, parties agree to attempt good-faith negotiation to resolve disputes. Either party may request a meeting to discuss resolution within 14 days of dispute notice.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any Service Agreements and our Privacy Policy, constitute the entire agreement between you and Axelion regarding use of our Website and Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

12.3 Waiver

Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by us.

12.4 Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms or delegate any obligations without restriction.

12.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, strikes, or telecommunications failures.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our Website with an updated "Last Updated" date. Material changes will be communicated via:

  • Email notification to registered users
  • Prominent notice on our Website

Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms. If you disagree with changes, you should discontinue use of our Services.
